Company Incorporation in Pakistan

Registering a private limited company gives your business a separate legal identity, limited liability protection, and far more credibility with clients, banks, and investors. In Pakistan, companies are registered with the Securities and Exchange Commission of Pakistan (SECP) — and the entire process is now done online.
But “online” doesn’t mean simple. Name reservations get rejected, documents bounce back for small errors, and first-time founders often don’t know what comes after incorporation. TaxEase Pakistan manages your SECP company incorporation end to end — and sets up everything that follows, from NTN to bank account to tax compliance.
Why Register a Company?
- Limited liability — your personal assets are protected from business debts
- Credibility — corporate clients, marketplaces, and government tenders prefer dealing with registered companies
- Easier banking and investment — company bank accounts, loans, and investor funding all require incorporation
- Tax advantages — companies can access tax structures and rates not available to unregistered businesses
- Continuity — the company outlives changes in ownership or management
Types of Companies We Register
Private Limited Company
The most popular choice for startups and SMEs. Requires at least two directors/shareholders and is ideal for businesses planning to grow, raise investment, or hire staff.
Single Member Company (SMC)
A private company with just one shareholder — perfect for solo founders who still want limited liability and a formal structure.

The Registration Process — Step by Step
1. Name reservation
We check and reserve your company name on the SECP eServices portal. Names must be unique and end with “(Private) Limited” or “(SMC-Private) Limited”. We submit up to three choices to maximise approval chances.
2. Document preparation
We prepare your Memorandum and Articles of Association (the company’s founding documents) along with the required SECP forms — declaration of compliance, registered office notice, and directors’ particulars.
3. Filing and fee payment
We file everything electronically through SECP’s portal and handle the official fee payment. Fees depend on your authorised share capital — we’ll tell you the exact amount upfront.
4. Certificate of Incorporation
SECP verifies the application and issues your Certificate of Incorporation, typically within days for clean online filings. You now legally exist as a company.
5. What comes next — we handle it too
Incorporation is only the start. We also arrange:
- NTN registration for the company with FBR (often linked automatically, otherwise filed on IRIS)
- Company bank account guidance — the documents banks ask for
- Sales tax registration (STRN) if your business needs it
- PSEB registration for IT and IT-enabled services exporters
- Ongoing compliance — annual filings, tax returns, and bookkeeping
Documents You’ll Need
- CNIC copies of all shareholders and directors (passports for foreign nationals)
- Proof of registered office address (utility bill or rent agreement)
- Details of shareholding percentages
- Contact details for all directors
That’s it for most cases. We take it from there.
Frequently Asked Questions
How long does company registration take in Pakistan?
For a clean online application through SECP eServices, the Certificate of Incorporation is typically issued within several working days. Delays almost always come from name rejections or incomplete documents — both of which we prevent.
How much does it cost to register a private limited company?
SECP’s official fee depends on your authorised capital, plus a small name reservation fee. On top of that is our fixed professional fee, quoted to you before we start. No hidden charges.
Can a foreigner register a company in Pakistan?
Yes, foreign nationals can be shareholders and directors, with passport documentation. We’ll walk you through the additional requirements.
Do I need a physical office to register?
You need a registered office address for SECP records — this can be your business premises or another valid address with proof. We’ll advise on what works.
What’s the difference between a private limited company and an SMC?
A private limited company needs at least two members; an SMC (Single Member Company) has one. SMCs suit solo founders; private limited companies suit co-founders and businesses planning to bring in partners or investors.
After incorporation, am I done with compliance?
No — and this is where many founders get caught out. Companies must file annual returns with SECP, file income tax returns with FBR, and maintain proper books. Our ongoing compliance packages cover all of it.
